Promotions with Entry Forms and Random Selection

Natural Grocers from time to time gives away products, prizes, and promotional items (“Giveaway Items”) by way of free entries and randomly selected recipients. NO PURCHASE NECESSARY to enter. To receive a Giveaway Item based on random selection of an entry, the recipient must be present at the time selection is made. If the selected entrant is not present, the Giveaway Item may be awarded to the next qualified selected entrant. Giveaway items are limited to supply on hand. No rain checks or substitutions. Some selected entrants may not receive award due to lack of supply. Taxes are the sole responsibility of the recipient. By participating, recipient acknowledges and agrees that neither Natural Grocers or its employees or vendors assume any liability in any form for the use, assumed value, consequences of use, or any other liability associated with the Giveaway Item. Giveaway Items have no cash value and cannot be returned for store credit. Recipient further agrees that Natural Grocers is the sole judge of all rules and its decisions are final. Posted rules are subject to change at any time. Promotion may be changed, cancelled, or postponed at any time. Employees and family members of employees of Natural Grocers are not eligible to enter. In some instances, prizes must be claimed by an adult minimum 18 years of age and release of liability signed.

Natural Grocers® 2025 Win a Year of Coffee Sweepstakes

Official Rules

NO PURCHASE OR PAYMENT NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

1. Eligibility: The Natural Grocers 2025 Win a Year of Coffee Sweepstakes (the “Sweepstakes”) is open only to legal residents of the following states who are at least 18 years old at the time of entry: Arizona, Arkansas, Colorado, Idaho, Iowa, Kansas, Louisiana, Minnesota, Missouri, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington and Wyoming (each, an “Eligible State”). Employees of Vitamin Cottage Natural Food Markets, Inc. (“Sponsor”) and its parent, affiliates and subsidiaries, and the immediate family (spouses, parents, siblings and children) and household members of such employees, are not eligible to participate or win. VOID WHERE PROHIBITED BY LAW. Subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Timing: The Sweepstakes begins on March 8, 2025 and ends on March 11, 2025 (the “Sweepstakes Period”).

3. How to Enter: Entrants will be able to enter the Sweepstakes by submitting an entry form at a participating Sponsor store during the Sweepstakes Period. There is a maximum of one (1) entry per person.

4. Sweepstakes Prizes: Sweepstakes prizes will be awarded as follows:

Grand Prize. One (1) entrant across all of Sponsor’s participating stores will receive a grand prize consisting of, at Sponsor’s sole and absolute discretion, either (i) hotel accommodations for two guests in Sedona, Arizona, for three (3) nights, including domestic air travel to Sedona and resort credits for the stay (maximum total value of such package: $2,500.00); or (ii) $2,500.00 in cash (such prize, the “Grand Prize”).
Runner Up Prizes. At each participating Sponsor store, one (1) entrant will receive a prize consisting of one (1) $110 Natural Grocers gift card (equal to the price of twelve (12) bags of Natural Grocers Brand Organic Coffee, plus tax) (each such prize, a “Runner Up Prize”). Runner Up Prizes will be delivered approximately six (6) to eight (8) weeks following the conclusion of the Sweepstakes Period.

(the Grand Prize and Runner Up Prizes may hereafter be referred to as a “Sweepstakes Prize” or “prize”). Sweepstakes Prizes are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning a Sweepstakes Prize depend on the total number of eligible entries received.

5. Selection of Sweepstakes Prize Winners: With respect to the Grand Prize, Sponsor will randomly select one (1) total Grand Prize winner from all eligible entries across all participating Sponsor stores within a reasonable period following the conclusion of the Sweepstakes Period. With respect to the Runner Up Prizes, Sponsor will randomly select one (1) Runner Up Prize winner from all eligible entries at each participating Sponsor store within a reasonable period following the conclusion of the Sweepstakes Period. As a condition to receiving the Grand Prize, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified by Sponsor, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Grand Prize winner fails to complete, sign and return the foregoing within such seven (7) day period, he/she will forfeit the Grand Prize and an alternate winner will be selected at random. Entrants are responsible for providing a valid mailing address to Sponsor. To be valid, an address must be in an Eligible State and must accept delivery by United States Postal Service or overnight service such as UPS. If a Sweepstakes Prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such Sweepstakes Prize winner’s selection and select a new prize winner. ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules.

6. Publicity: Except where prohibited by law, participation in the Sweepstakes constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of the winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7. General Conditions: Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8. Release/Limitations of Liability: Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”): (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, use or misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

9. Disputes: Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

10. Precedence. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in other Sweepstakes materials (including, without limitation, any point of sale, online or print advertising), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

11. Winners List/Official Rules: To obtain a list of the Sweepstakes Prize winners or a copy of these Official Rules, send a self-addressed stamped envelope to Sponsor at the address provided below. All such requests must be received within ninety (90) days after the Sweepstakes Period, or such period permitted by applicable law, if longer. Please allow up to ten (10) business days for Sponsor to process your request. Where required by law, residents may omit return postage with Official Rules requests.

There is a maximum of one (1) total entry per person.

4. Sweepstakes Prizes: Three prizes will be awarded:

One (1) entrant across all of Sponsor’s participating Colorado stores will receive a prize consisting of one (1) Aventon Pace 500 e-bike (estimated retail value $1,599.00) (the “E-Bike Prize”);
One (1) entrant across all of Sponsor’s participating Colorado stores will receive a prize consisting of one (1) Meier Custom Branded Skis (estimated retail value $1,495.00) (the “Ski Prize”); and
One (1) entrant across all of Sponsor’s participating Colorado stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Gift Card Prize”)

(each such prize, a “Sweepstakes Prize” or “prize”). Each Sweepstakes Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Sweepstakes Prize winners are responsible for all taxes and fees associated with receipt and/or use.

ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. With respect to potential winnerS of the e-Bike prize and SKI PRiZE, within seven (7) days following the date a potential winner is notified, he/she will be required to complete, sign and return (i) a Waiver and Release of Liability (a “Waiver and Release”) provided by Sponsor that discharges Sponsor from any liabilities and causes of action arising from or relating to such individual’s ownership and/or use of the E-Bike Prize or Ski Prize, as applicable. IN ADDITION, the potential winner of the E-Bike Prize and Ski Prize will also need to complete, sign and return to Sponsoran IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Sweepstakes prize winner fails to complete, sign and return the Waiver and Release or IRS Form W-9 within such seven (7) day period, his/her prize will be forfeited and an alternate potential prize winner will be selected at random.

Sweepstakes Prizes will be shipped to the applicable prize winner’s valid mailing address by Sponsor within thirty (30) days after Sponsor’s selection of such prize winner and Sponsor’s receipt of all documents and other information required by these Official Rules. To be valid, a prize winner’s address must be located in an Eligible State and must accept package deliveries by USPS, UPS and Federal Express. If the Sweepstakes prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such prize winner’s selection and select a new prize winner. A prize winner is responsible for providing a valid mailing address to Sponsor.

One (1) entrant across all of Sponsor’s participating Texas stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Gift Card Prize”); and
One (1) entrant across all of Sponsor’s participating Texas stores will receive a prize consisting of one (1) Yeti cooler (estimated retail value $400.00) (the “Cooler Prize”)

(each such prize, a “Sweepstakes Prize” or “prize”). Each Sweepstakes Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Sweepstakes Prize winners are responsible for all taxes and fees associated with receipt and/or use.

ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules.

With respect to a potential winner of the e-Bike prize, within seven (7) days following the date a potential winner is notified, he/she will be required to complete, sign and return (i) a Waiver and Release of Liability (a “Waiver and Release”) provided by Sponsor that discharges Sponsor from any liabilities and causes of action arising from or relating to such individual’s ownership and/or use of the E-Bike Prize. IN ADDITION, the potential winner of the E-Bike Prize will also need to complete, sign and return to Sponsoran IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). If a potential Sweepstakes prize winner fails to complete, sign and return the Waiver and Release or IRS Form W-9 within such seven (7) day period, his/her prize will be forfeited and an alternate potential prize winner will be selected at random.
