4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded as follows:

• Grand Prize. One (1) entrant across all of Sponsor’s participating stores will receive a grand prize consisting of, at Sponsor’s sole and absolute discretion, either (i) a trip for two (2) to Steamboat Springs, Colorado, including domestic air travel to Denver, Colorado with hotel accommodations for two guests for three (3) nights in Steamboat Springs, and resort credits for the stay (maximum total value of such package: $2,500.00); or (ii) $2,500.00 in cash (such prize, the “Grand Prize”). 
• Runner Up Prizes. At each participating Sponsor store, two (2) entrants will each receive a prize consisting of one (1) $25 Natural Grocers gift card (each such prize, a “Runner Up Prize”).   

(the Grand Prize and Runner Up Prizes may hereafter be referred to as a “Sweepstakes Prize” or “prize”). Sweepstakes Prizes are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning a Sweepstakes Prize depend on the total number of eligible entries received.

5.         Selection of Sweepstakes Prize Winners:  Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select: one (1) total Grand Prize winner from all eligible entrants across all of Sponsor’s participating stores; and one (1) Runner Up Prize winner for each participating Sponsor store from all eligible entries for each such store. No later than February 28, 2025, Sponsor will notify the selected Grand Prize winner that they are a potential Grand Prize winner. As a condition to receiving the Grand Prize, the potential winner must complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law. Additionally, the potential Grand Prize winner must provide a valid U.S. shipping address within an Eligible State that receives mailings by USPS and overnight courier; the failure to provide such a valid mailing address, or the rejection of attempted delivery of the Grand Prize (i.e., if cash payment) at the provided address, may in Sponsor’s sole discretion result in a forfeiture of the prize and a selection of a new winner by Sponsor. No later than February 28, 2025, Sponsor will notify each Runner Up Prize winner that their Runner Up Prize is available for pick up at the store at/for which the Runner Up Prize winner submitted his/her entry. Each Runner Up Prize winner must pick up their Runner Up Prize in person at such store within thirty (30) days after such notification; should they fail to do so they will forfeit their prize and an alternate winner will be selected at random. The selection of the Prize winners is final and binding in all matters related to the Sweepstakes. 7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”):  (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, useor misuse of any prize. 5.         Selection of Sweepstakes Prize Winners:  Sponsor will randomly select the potential Sweepstakes prize winners from all eligible entries within a reasonable period following the end of the Sweepstakes Period. If a potential Sweepstakes prize winner fails to respond to Sponsor within seven (7) days following Sponsor’s attempt to notify him/her that he/she is a potential prize winner, his/her prize will be forfeited and an alternate potential prize winner will be selected at random. The entrant must access a {N}power Crossword Puzzle Card received by {N}power program email or through the Natural Grocers mobile application. Each {N}power Crossword Puzzle Card contains a crossword puzzle, crossword puzzle clues, and shopping challenges associated with the clues. The answer to each crossword puzzle clue will be revealed if an entrant makes qualifying purchases, a specified number of visits in succession, or completes other in-store shopping challenges, as set forth on the card, during the Sweepstakes Period at a participating Natural Grocers store (such individual transaction or series of transactions, each a “Qualifying Transaction”). 

Each Qualifying Transaction corresponds with the answer to a puzzle clue, which will be revealed upon completion of the shopping challenge, provided that entrants enter their {N}power number at check-out upon making each Qualified Transaction. Once the entrant makes Qualified Transactions that reveal all of the answers to the crossword puzzle on the card, the entrant will have completed the {N}power Crossword Puzzle Card and will receive a {N}power Reward Prize (defined below). 1. Each Qualifying Transaction (as defined herein) made by an {N}power member during the Sweepstakes Period will automatically count as a separate entry in the Sweepstakes by that {N}power member. Entrants are limited to a maximum of ten (10) Qualifying Transactions per day per {N}power member for this method of entry; or
2. {N}power members may complete and submit an entry form online at www. naturalgrocers.com/contest/win-organic-produce during the Sweepstakes Period. As used herein, a “Qualifying Transaction” shall mean the in-store customer purchase, in a single checkout transaction, of Seventy-Five Dollars ($75) or more at a participating Sponsor store during the Sweepstakes Period. 

4.         Sweepstakes Prize:  One (1) winner for each of Sponsor’s participating stores will receive a prize consisting of a discount of 50% off all produce purchases at Sponsor stores during the month of October 2024, up to a maximum total discount of $599.00 during the Redemption Period, as hereinafter defined (each such prize a “Sweepstakes Prize” or “prize”). The prize will be fulfilled through each winner’s {N}power account and 50% will be deducted from their produce purchases from October 1, 2024 through October 31, 2024 only (such period, as used herein, the “Redemption Period”). The 50% discount will be applied to the regular, non-discounted price of each qualifying product during the Redemption Period.   

Each Sweepstakes Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with Sweepstakes Prize receipt and/or use.  The odds of winning a Sweepstakes Prize depend on the number of eligible entries received.

5.         Selection of Sweepstakes Prize Winners:  Following the conclusion of the Sweepstakes Period, Sponsor will randomly select one (1) Sweepstakes Prize winner for each participating Sponsor store from all eligible entries. The selection of the Prize winners is final and binding in all matters related to the Sweepstakes. The only permissible entry form is the entry form found in the print version of the AUGUST 2024 edition of Sponsor’s Health Hotline^® magazine. There is a maximum of one (1) entry per person during the Contest Period. 

4.         Contest Prize: One (1) entrant across all Sponsor’s participating stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Contest Prize” or the “prize”).  The Contest Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Contest Prize winner is responsible for all taxes and fees associated with receipt and/or use.

The odds of winning the prize depend on the total number of eligible entries received during the Contest Period. See Section 5 below for additional eligibility requirements.

5.         Selection of Contest Prize Winner:  At the end of the Contest Period, Sponsor will randomly select one (1) Contest Prize winner from all eligible entries across all participating Sponsor stores. To be eligible to win a Prize, the entry form submitted by the winner must correctly state the number of SNOW CONE images appearing in the august 2024 edition of Sponsor’s Health Hotline magazine (the “health hotline”) EXCLUDING THE SNOW CONE the polar bear is holding on the front cover and on pages 13 and 22. In the event no entry correctly states the number of Snow Cone images appearing in the Health Hotline, Sponsor will randomly select the prize winner from all valid entries closest to the actual number. The Contest Prize winner will be notified by telephone or email within a reasonable period following their selection by Sponsor. Within seven (7) days after such notification, the Contest Prize winner must pick up their prize at the Sponsor store at which such winner submitted their entry form, in person, during normal business hours, at a specific time to be coordinated by Sponsor and such winner. 2. Tagging a friend in the comments of the Natural Grocers 2024 Organic Month Instagram Giveaway post made by Natural Grocers; and
3. Liking that Post. 

Entrants may enter an unlimited number of times, although entrants may not use an agency or automated system to enter. All entries must be submitted through a public Instagram account. 1.         Eligibility:  The Natural Grocers 2024 {N}power Member Shop, Solve and Win Sweepstakes (the “Sweepstakes”) is open only to legal residents of the following states who are members of the Natural Grocers {N}power customer loyalty program and are at least 18 years old at the time of entry: Arizona, Arkansas, Colorado, Idaho, Iowa, Kansas, Louisiana, Minnesota, Missouri, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington and Wyoming (each, an “Eligible State”). Employees of Vitamin Cottage Natural Food Markets, Inc. (“Sponsor”) and its parent, affiliates and subsidiaries, and the immediate family (spouses, parents, siblings and children) and household members of such employees, are not eligible. Subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2.         Timing:  The Sweepstakes begins on June 1, 2024 and ends on June 30, 2024 (the “Sweepstakes Period”).

3.         How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join. The entrant must access a Shop, Solve and Win puzzle (the “Puzzle”) received by {N}power program email or through the {N}power mobile application.

Each Puzzle contains squares specifying an amount of money an entrant must spend on qualifying purchases, required visits or in-store shopping during the Sweepstakes Period at a participating Natural Grocers store (such individual transaction or series of transactions, each a “Qualifying Transaction”). Each Qualifying Transaction corresponds with a letter. 

If a letter corresponding to the Qualified Transaction forms part of the Puzzle, the corresponding letter(s) of the Puzzle will be revealed at the time such purchase is made, provided that entrants enter their {N}power number at check-out upon making each Qualified Transaction. Once the entrant makes Qualified Transactions corresponding to all letters of the Puzzle or otherwise solves the Puzzle by filling in all missing letters, the entrant will have completed Shop, Solve and Win in order to receive a Sweepstakes Prize (defined below).  An {N}power member may also enter by mailing a written request for the Puzzle card and hint to: {N}power rewards at 12612 W Alameda Pkwy, Lakewood, CO 80228.

4.         Sweepstakes Prize:  Entrants who solve the Puzzle will each receive a $5 reward, redeemable at any Natural Grocers store (each such prize, a “Sweepstakes Prize”). Sweepstakes Prizes will not be awarded as cash, are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Limit one (1) Sweepstakes Prize per entrant.

5.         Selection of Sweepstakes Prize Winner:  The Sweepstakes Prize will be credited to the entrant’s {N}power account within on July 1, 2024. It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules. 

6.         Publicity:  Except where prohibited by law, participation in the Sweepstakes constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of the winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”):  (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, useor misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

9.         Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).
